Terms & Conditions

Last updated: October 20, 2026

These Terms & Conditions apply to your use of the Studio Tôduy website and purchases made through our website, by email, or directly with the studio. References to “Studio Tôduy,” “we,” “us,” and “our” mean Studio Tôduy LLC.

Please review these terms before placing an order. By placing an order, you agree to these terms and any specific conditions provided in your approved quotation or order agreement. A separate written agreement will govern commissioned projects or services where provided.

1. Our Pieces

We aim to present our work accurately through descriptions, specifications, photographs, and, where identified, renderings. Colors and finishes may appear differently depending on lighting and screen settings.

Our pieces may incorporate wood, natural stone, mother-of-pearl, lacquer, and other materials whose character varies from one piece to another. Differences in grain, veining, tone, iridescence, and hand-applied details are an expected part of these materials and processes.

These variations are not, by themselves, defects. However, damage, structural problems, or a material departure from agreed specifications will be assessed separately.

Please review dimensions, materials, finishes, and care requirements before ordering. For clarification or additional details, contact info@studiotoduy.com.

2. Orders and Acceptance

Each order is subject to availability and our written acceptance. An automated acknowledgment confirms that we have received your request; it does not, on its own, confirm acceptance.

Before accepting an order, we may contact you to clarify specifications, delivery details, or pricing. If we identify an error or cannot fulfill your request, we will notify you. We will not substitute a material, finish, or design without your agreement.

If we decline or cancel an order, we will refund payments received for the canceled portion.

You are responsible for providing accurate contact, billing, and delivery information and reviewing the details of your order before approval.

3. Pricing and Payment

Prices are stated in U.S. dollars unless otherwise indicated. Applicable taxes, packing, crating, shipping, delivery, and installation charges will be identified separately unless expressly included.

Payment requirements will be stated at checkout or in your quotation or invoice. Production begins after we receive the required payment and any necessary approvals.

Where a deposit arrangement is agreed, the remaining balance is due according to the schedule stated in your order agreement. Unless otherwise agreed in writing, all outstanding amounts must be paid before dispatch or collection.

Price changes do not affect orders we have already accepted.

4. Made-to-Order and Custom Work

Whether a piece is available from stock or made to order will be specified before purchase.

For custom work, the approved dimensions, materials, finishes, and other specifications form the basis of production. Changes requested after approval may affect pricing and timing and require our written acceptance.

Made-to-order and custom purchases cannot be canceled or returned for a change of mind once production has begun, except where required by law or otherwise agreed in writing.

Before production begins, contact us promptly to request a cancellation. Any applicable cancellation charges must have been disclosed and agreed before purchase.

These restrictions do not remove rights relating to defective goods, failure to fulfill an order, or qualifying shipping delays.

5. Production and Lead Times

Production and shipping estimates will be provided with your order. Timing may be affected by the complexity of a piece, material availability, artisan schedules, or transportation arrangements.

We will communicate material changes to the expected schedule. If we cannot ship within the applicable promised period, we will provide notice and any choice between accepting a revised shipping date or canceling for a refund required by law.

Please discuss any essential delivery deadline with us before placing an order.

6. Shipping, Delivery, and Collection

Delivery arrangements and charges will be confirmed for each order. Depending on the piece, specialist packing, crating, freight handling, or white-glove delivery may be necessary.

You are responsible for checking that the piece can safely reach its intended location. Please confirm doorway, hallway, stairway, and elevator dimensions, along with building access requirements, delivery hours, and any required insurance documentation.

Additional services or costs arising from inaccurate access information, missed appointments, or changes you request may be charged to you where disclosed and agreed.

If you arrange your own collection or carrier, packing, loading, insurance, and transit responsibilities must be agreed in writing before pickup. Any storage arrangements or fees will also be agreed in advance.

For international orders, responsibility for customs clearance, duties, import taxes, and related charges will be specified in the quotation. Unless expressly included, these charges are the recipient’s responsibility.

For shipping inquiries, contact info@studiotoduy.com.

7. Inspection and Delivery Concerns

Please inspect the packaging and piece as soon as reasonably possible after delivery. Where practical, note visible damage on the delivery receipt and photograph the packaging and affected areas.

Report visible damage, missing components, or an incorrect item to info@studiotoduy.com promptly, preferably within 48 hours, so we can assist with the delivery provider and assess the issue. Keep the packaging until we advise otherwise.

This requested reporting period does not remove rights relating to hidden defects or other rights protected by law.

Please contact us before arranging repairs or returning a piece, as unauthorized work may make it difficult to determine the cause of damage or the appropriate remedy.

8. Returns and Remedies

Made-to-order and custom pieces are final sale for change-of-mind purposes once production begins. Any return eligibility for in-stock pieces will be stated before purchase.

If a piece arrives damaged, is defective, or materially differs from the agreed specifications, contact us with your order details, a description of the concern, and supporting photographs.

We will assess the issue and arrange an appropriate remedy, which may include repair, replacement, or a refund, in accordance with applicable law.

Where a return is approved, we will provide instructions for suitable packing and transport. Refunds will be issued within the period required by applicable law. We will not impose deductions that reduce a refund you are legally entitled to receive.

9. Materials, Care, and Use

Natural materials respond to their surroundings. Wood may expand or contract with changes in humidity; stone, lacquer, metals, and mother-of-pearl may develop changes in appearance with use and age.

Normal aging and minor material variation are distinct from manufacturing defects. Cracking, instability, or other significant changes will be assessed according to their nature and cause rather than automatically treated as normal variation.

Follow the care and installation instructions supplied with your piece. Unless specifically identified as suitable for outdoor use, pieces are intended for indoor environments.

We are not responsible for damage to the extent caused by misuse, unsuitable cleaning products, improper handling or installation, unauthorized alterations, or exposure to unsuitable environmental conditions. This does not exclude responsibility for defects or obligations that cannot lawfully be excluded.

Any product-specific warranty will be provided separately. Nothing in these terms limits mandatory warranties or consumer protections.

10. Intellectual Property

The Studio Tôduy name, branding, original designs, photographs, drawings, text, and other website content belong to Studio Tôduy LLC or their respective rights holders and are protected by applicable intellectual property laws.

Purchasing a piece does not transfer rights to reproduce its design or commercially use our imagery or branding. Except as permitted by law, reproduction, modification, distribution, or commercial use requires prior written permission.

For press images, credits, or permissions, contact info@studiotoduy.com.

11. Website Use and Privacy

You agree to use our website lawfully and not interfere with its operation, attempt unauthorized access, or misuse its content.

We may update website content and correct errors as needed. Changes to website information do not alter the specifications or terms of an accepted order without agreement.

Our Privacy Policy explains how we handle personal information collected through the website and our communications with you.

12. Liability

To the extent permitted by law, Studio Tôduy LLC is not liable for indirect or consequential losses arising from use of the website or purchase of our pieces, including lost business opportunities or profits.

Nothing in these terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any liability that applicable law does not permit us to exclude or limit. Your mandatory consumer rights remain unaffected.

13. Events Beyond Our Control

Events outside our reasonable control, such as natural disasters, transportation disruptions, or government restrictions, may affect production or delivery.

If such an event affects your order, we will notify you and take reasonable steps to reduce the disruption. Any revised arrangement remains subject to applicable cancellation and refund rights. This section does not remove our obligation to provide a refund where legally required.

14. Governing Law and Disputes

These terms are governed by the laws of the State of New York, subject to any mandatory consumer protections that apply where you live.

If a concern arises, please contact us first so we can work toward a resolution. Subject to applicable law, disputes will be brought before the appropriate state or federal courts in New York, New York.

15. Changes to These Terms

We may update these terms as our offerings and operations evolve. The current version will appear on this page with its revision date.

The terms provided when we accept your order will continue to govern that order unless a change is agreed in writing or required by law.
